Terms of Service

These Terms of Service govern access to and use of the NAVIZIX website, platform, dashboard, tools, prototypes, beta features, AI-assisted modules, documents, integrations, and related services.

By accessing or using NAVIZIX, creating an account, submitting information, or using any part of the Services, you agree to these Terms. If you are using NAVIZIX on behalf of a company, organisation, or other legal entity, you confirm that you have authority to bind that organisation to these Terms.

0. Signup & Consent (Private Access)

When you create a free account during NAVIZIX private access, you are asked for your name and email. You may also optionally select a persona (e.g. business owner, vendor, investor, senior advisor) and tick which operational challenges currently apply to you.

These signup answers — including the challenges you select — are stored against your record so we can:

  • Personalise which NAVIZIX modules and onboarding steps appear first inside your workspace.
  • Send you only the product updates and educational emails that match the challenges you flagged.
  • Help our team triage early-access requests fairly and contact you about features that solve your stated problems.

By ticking the consent box at signup you confirm you accept these Terms and our Privacy Policy. You can withdraw consent at any time by emailing privacy@navizix.ai; we will delete or anonymise your record within 30 days, subject to legal retention obligations.

There is no credit card, no trial countdown, and no hidden fee during private access. If we ever introduce paid tiers you will be notified in advance and given the choice to upgrade or remain on the Starter plan at no cost.

1. About NAVIZIX

NAVIZIX is an AI-powered business operating layer designed to help startups and companies organise business data, workflows, teams, customer journeys, SOPs, onboarding, operations, inventory, marketing, finance, HR, and executive reporting in one place.

NAVIZIX may include two product modes:

  • Startup OS: for founders and early-stage businesses building, launching, organising, and preparing their business.
  • Company OS: for existing companies seeking a unified operating layer across multiple tools, departments, workflows, and data sources.

NAVIZIX is currently in product development, beta, early access, or staged commercial release. Some features, integrations, dashboards, AI agents, and data connections shown on the website may be planned, simulated, experimental, or under development unless clearly marked as available.

2. Account Registration

To use certain Services, you may need to create an account.

You agree to:

  • provide accurate account information;
  • keep your login details secure;
  • notify us if you suspect unauthorised access;
  • ensure that all users under your account comply with these Terms.

You are responsible for all activity under your account, including activity by employees, contractors, managers, administrators, or invited users.

3. Customer Workspaces

NAVIZIX may allow each customer to create or access a workspace containing company information, dashboards, documents, users, workflows, SOPs, onboarding materials, inventory records, reports, and connected data.

You are responsible for:

  • deciding what information is uploaded or connected;
  • ensuring you have the right to provide that information;
  • managing access permissions for your users;
  • reviewing AI-generated outputs before using them;
  • ensuring your use of NAVIZIX complies with applicable laws and internal policies.

4. Acceptable Use

You must not use NAVIZIX to:

  • violate any law, regulation, or third-party right;
  • upload unlawful, harmful, misleading, defamatory, discriminatory, or abusive material;
  • process data without lawful authority or required consent;
  • attempt to access another customer's data;
  • interfere with the security or operation of NAVIZIX;
  • reverse engineer, scrape, copy, or misuse the Services;
  • upload malware, harmful code, or security threats;
  • use NAVIZIX to make fully automated decisions about individuals without appropriate human review and legal basis;
  • use NAVIZIX for high-risk legal, medical, financial, employment, immigration, tax, or regulatory decisions without professional review.

5. AI-Assisted Features

NAVIZIX may include AI-assisted features, including but not limited to:

  • business analysis;
  • SOP generation;
  • employee onboarding document generation;
  • customer journey mapping;
  • inventory summaries;
  • marketing recommendations;
  • operational insights;
  • financial or cashflow summaries;
  • workflow suggestions;
  • executive reports.

AI-generated content may be incomplete, inaccurate, outdated, unsuitable, or based on incomplete information.

You are responsible for reviewing, editing, approving, and validating all AI-generated content before relying on it or sharing it with employees, customers, suppliers, investors, regulators, or other third parties.

NAVIZIX does not guarantee that AI-generated outputs will improve revenue, profitability, growth, compliance, funding prospects, employee performance, customer satisfaction, or business outcomes.

6. No Professional Advice

NAVIZIX provides business support, workflow assistance, document generation, analysis, and decision-support tools.

NAVIZIX does not provide legal, financial, accounting, tax, investment, employment, immigration, regulatory, medical, or professional advice.

Any documents generated by NAVIZIX, including SOPs, onboarding documents, policies, HR documents, business plans, reports, or recommendations, are for internal guidance and business support only. They do not replace professional advice, employment contracts, official company policies, legal review, or country-specific compliance review.

7. Customer Data

"Customer Data" means any data, content, files, documents, business information, employee information, customer information, supplier information, operational data, CRM data, marketing data, HR data, inventory data, financial data, or other information submitted to NAVIZIX by or on behalf of the Customer.

You retain ownership of your Customer Data.

You grant NAVIZIX a limited right to host, process, transmit, store, analyse, display, and use Customer Data only as necessary to provide, secure, maintain, support, and improve the Services, and as otherwise permitted by these Terms, the Privacy Policy, and any applicable Data Processing Addendum.

8. Data Protection

Where NAVIZIX processes personal data on behalf of a Customer, the Data Processing Addendum forms part of these Terms.

For account management, billing, website use, support, analytics, fraud prevention, and our own business administration, NAVIZIX may process certain personal data as an independent controller, as described in the NAVIZIX Privacy Policy.

You are responsible for ensuring that any personal data you submit to NAVIZIX is collected and provided lawfully.

9. Integrations And Third-Party Services

NAVIZIX may connect or plan to connect with third-party tools such as CRM platforms, marketing platforms, HR tools, accounting tools, inventory systems, analytics tools, communication tools, payment providers, or other business software.

Unless clearly stated as live and available, integrations may be planned, beta, limited, manual, simulated, or dependent on third-party API access.

Third-party services are governed by their own terms and privacy policies. NAVIZIX is not responsible for third-party services, downtime, API changes, data errors, pricing changes, security incidents, or limitations.

10. Beta, Prototype, And Early Access Features

NAVIZIX may provide beta, prototype, demo, pilot, or early access features.

These features may:

  • contain errors or bugs;
  • be changed or removed;
  • use sample or demo data;
  • have limited availability;
  • not be suitable for production use;
  • not include all planned security, reporting, or integration functions.

You use beta, prototype, demo, pilot, or early access features at your own risk.

11. Payments And Subscriptions

Some Services may be free, paid, subscription-based, usage-based, pilot-based, or one-off.

Prices, billing periods, included features, cancellation terms, and payment conditions will be shown at checkout, in an order form, or in a separate written agreement.

You agree to pay all fees when due.

If payments are processed through a third-party payment provider, that provider's terms may also apply.

12. Cancellation And Refunds

Unless otherwise stated in an order form or checkout page:

  • subscription fees are billed in advance;
  • subscriptions may be cancelled before the next billing cycle;
  • cancellation stops future billing but does not automatically refund past payments;
  • one-off business diagnostic, consulting, setup, or custom document services are generally non-refundable once work has started;
  • early access deposits may be refundable only if no access, onboarding, custom work, report, or service has been provided.

Any specific refund terms shown at checkout or in a written order form will apply.

13. Intellectual Property

NAVIZIX and its licensors own all rights in the Services, including software, designs, interfaces, workflows, dashboards, templates, AI prompts, product names, brand assets, documentation, systems, processes, and platform structure.

You may not copy, modify, distribute, sell, license, reverse engineer, or create derivative products from NAVIZIX without written permission.

Customer Data remains owned by the Customer.

14. Generated Documents And Outputs

Subject to these Terms and payment of any applicable fees, you may use documents and outputs generated through NAVIZIX for your internal business purposes.

You are responsible for reviewing and approving all generated documents before use.

NAVIZIX does not guarantee that generated documents are legally compliant, complete, accurate, suitable for your jurisdiction, or appropriate for your specific business.

15. Confidentiality

Each party may receive confidential information from the other party.

Confidential information includes non-public business, technical, financial, operational, product, customer, employee, supplier, or strategic information.

Each party agrees to protect the other party's confidential information using reasonable care and not to disclose it except as needed to provide or use the Services, comply with law, or as otherwise permitted in writing.

16. Security

NAVIZIX will use reasonable technical and organisational measures designed to protect Customer Data from unauthorised access, loss, misuse, alteration, or disclosure.

However, no online service can be guaranteed to be completely secure.

You are responsible for using strong passwords, managing user access, reviewing permissions, and ensuring that your users follow appropriate security practices.

17. Service Availability

NAVIZIX aims to provide reliable access to the Services, but does not guarantee uninterrupted, error-free, or permanent availability.

We may suspend, limit, update, or modify the Services for maintenance, security, legal, operational, or product development reasons.

18. Support

Support may be provided by email, chat, ticketing system, or other channels depending on your plan or agreement.

NAVIZIX does not guarantee response times unless a specific service level agreement has been agreed in writing.

19. Suspension Or Termination

NAVIZIX may suspend or terminate access to the Services if:

  • you breach these Terms;
  • payment is overdue;
  • your use creates a security, legal, operational, or reputational risk;
  • we are required to do so by law;
  • your account is inactive for a long period;
  • you misuse beta, demo, or early access features.

You may stop using NAVIZIX at any time.

20. Data Export And Deletion

Where technically available, you may request export of Customer Data before termination.

After termination, NAVIZIX may delete or anonymise Customer Data after a reasonable period, unless legal, accounting, security, backup, or legitimate business reasons require retention.

Personal data processed on behalf of the Customer is handled according to the Data Processing Addendum.

21. Disclaimers

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, NAVIZIX disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, performance, business outcome, or error-free operation.

22. Limitation Of Liability

To the maximum extent permitted by law, NAVIZIX will not be liable for:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunity;
  • loss of goodwill;
  • loss or corruption of data;
  • business interruption;
  • indirect, incidental, special, consequential, or punitive damages;
  • decisions made based on AI outputs, dashboards, reports, forecasts, SOPs, onboarding documents, or recommendations.

NAVIZIX's total liability for any claim relating to the Services will not exceed the amount paid by the Customer to NAVIZIX in the three months before the event giving rise to the claim, unless a different limit is required by law or agreed in writing.

Nothing in these Terms excludes liability that cannot legally be excluded.

23. Indemnity

You agree to indemnify NAVIZIX against claims, losses, damages, costs, and expenses arising from:

  • your breach of these Terms;
  • your unlawful use of the Services;
  • your Customer Data;
  • your failure to obtain rights, permissions, consents, or legal bases for data submitted to NAVIZIX;
  • your use of generated documents or AI outputs without appropriate review.

24. Changes To The Services

NAVIZIX may add, remove, change, rename, or limit features at any time.

We may also change the layout, modules, pricing, integrations, AI functionality, or product structure as the platform develops.

25. Changes To These Terms

NAVIZIX may update these Terms from time to time.

The updated version will be posted on the website with a new "Last Updated" date.

If changes materially affect your rights or obligations, we may provide notice by email, dashboard notice, or another reasonable method.

Continued use of the Services after changes means you accept the updated Terms.

26. Governing Law And Jurisdiction

These Terms are governed by the laws of England and Wales, unless another jurisdiction is required by applicable law or agreed in writing.

The courts of England and Wales will have jurisdiction over disputes relating to these Terms, subject to any mandatory rights that may apply.
